Terms and Conditions of Sale & After-Sales Policy

1. General Provisions

1. Thank you for choosing products from Shenzhen MinghuiLink Silicone Co., Ltd. (hereinafter referred to as “MinghuiLink” or “we”). To protect the legal rights of both parties, please carefully read and confirm your agreement to these terms before placing an order. By placing an order, you are deemed to have fully understood and accepted all contents of these terms.

2. These terms are available in multiple languages. In the event of any material discrepancy in interpretation between versions (excluding Simplified and Traditional Chinese), the Chinese version shall prevail unless otherwise agreed in writing by both parties.

3. The purchase and/or use of our chemical materials requires full legal capacity for civil conduct. Individuals under 18 years of age (or deemed to have limited or no legal capacity under applicable laws) may not place orders. Purchases must be made by a legal guardian on their behalf, who must also confirm and accept these terms.

4. Information confidentiality: The Buyer agrees that all information provided to MinghuiLink under these terms (including but not limited to order details, contact information, technical feedback, etc.) will be used solely for the purpose of order processing, service provision, and after-sales support. MinghuiLink undertakes to keep such information strictly confidential and will not disclose it to any third party without the Buyer’s written consent, except as required by laws or regulations.

2. Scope of Application

1. These Terms and Conditions (“Terms”) apply to all products purchased through MinghuiLink’s platform or designated channels.

2. These Terms may be amended by MinghuiLink. The latest version will be published on the official website. You are advised to review them before each order. Revised terms take effect from the date of publication and apply to all transactions occurring thereafter.

3. The Buyer agrees to comply with the applicable laws and regulations of China and other relevant countries/regions when purchasing, reselling, using, or re-exporting products, including but not limited to export/import control, anti-dumping, or countervailing duties. The Buyer shall maintain all necessary licenses, permits, and filings in valid status.

3. Order and Confirmation

3.1 Product Types:

Standard Products: Manufactured in accordance with RTV-2 silicone technical data sheets published by MinghuiLink. Technical specifications are available on the official website.

Custom Products: Subject to written technical agreements or contracts confirmed by both parties.

3.2 Order Process:

1. The Buyer confirms product model, quantity, unit price, delivery date, and international trade terms.

2. We will issue a Proforma Invoice (PI) within 1 business day for the Buyer’s confirmation.

3. All quotations are valid for 10 calendar days from issuance. After expiration, we reserve the right to unilaterally adjust the quotation due to factors such as exchange rate fluctuations, raw material cost changes, or inventory status. If the Buyer wishes to proceed with the original quote after its expiration, the Buyer must submit a written order before the quotation’s expiration, and MinghuiLink must confirm it in writing for the original pricing to remain valid.

4. Purchase orders must specify product name, specifications, quantity, unit price, delivery location, and trade terms. Orders become effective only upon written confirmation by us (including but not limited to PI or confirmation email). Unconfirmed orders are for reference only and do not constitute a binding contract.

4. Price and Payment

4.1 Basis of Pricing: Pricing is based on Incoterms 2020. Unless otherwise stated (e.g., specified in the PI), prices exclude the following: bank transfer fees, all taxes (e.g., VAT, excise), duties, government charges in the destination country or other regions, shipping fees (unless the trade term includes partial freight such as FCR/FOB/CIF), and insurance (unless specified in CIF or similar terms).

4.2 Payment Methods: Refer to the payment policy on our official website. We may adjust payment terms (prepayment, letter of credit, deposit, etc.) based on credit and risk assessment of the Buyer.

4.3 Ownership and Risk: Ownership and risk transfer occur at the designated point in accordance with the agreed trade terms. Title of ownership shall remain with MinghuiLink until full payment has been received. If payment is overdue by 7 calendar days, we reserve the right to terminate the contract, cancel the order, and pursue any applicable penalties for delayed payment.

5. Material Shelf Life and Storage

5.1 Shelf Life Definition: Calculated from the production date, as stated on the product label. Shelf life refers to the maximum period during which performance is retained under recommended storage conditions. Materials beyond the shelf life do not necessarily mean they cannot be used, but we recommend conducting a small test first to confirm performance.

5.2 Recommended Storage Conditions: Store at room temperature (15–25°C / 60–77°F) in a cool, dry place, avoiding direct sunlight. High temperatures may reduce shelf life. The Buyer is responsible for proper storage. We are not liable for any degradation caused by improper storage, though technical support may be provided.

5.3 After Opening: Reseal any unused materials. For curing agents, wrap the container with tape to prevent moisture and contamination.

5.4 Purchase Suggestion: Buy quantities according to project needs to avoid waste from expiration or long-term storage.

6. Delivery and Transportation

6.1 Trade Terms: Unless otherwise agreed, transactions follow Incoterms 2020, including EXW, FCR, FOB, CIF, etc. Ownership and risk transfer are based on the selected trade term.

6.2 Delivery Timeline:

Samples & small orders: 1–5 business days.

Custom/special orders: 3–10 business days.

Bulk orders: Based on production scheduling.

Note: These are estimated/target lead times. Actual delivery dates are subject to the Proforma Invoice (PI). Timelines exclude weekends and official Chinese holidays. If a specific delivery date is needed, please state it in your order. We will do our best to accommodate.

7. Compliance Commitment

The Buyer shall comply with all applicable export-related laws and regulations of China and the destination country, including obtaining necessary export/import permits, paying all taxes and fees, and observing anti-dumping, countervailing duties, or other sanctions. We may provide necessary support.

Should the Buyer’s failure to comply with these obligations result in contract non-performance or loss, the Buyer shall bear full responsibility. If affected by anti-dumping, countervailing duties, or sanctions, we reserve the right to suspend or terminate contract execution. The Buyer is liable for all legal and financial consequences arising from such violations.

8. Force Majeure

In the event of force majeure (e.g., natural disasters, war, government actions, strikes, epidemics, transportation disruptions) causing delay or failure to perform contractual obligations, the affected party shall not be held liable for breach. Notification and supporting documents must be provided within 3 business days of the event.

Both parties shall actively mitigate losses during the force majeure period. After the event ends, parties shall negotiate follow-up arrangements based on actual conditions.

Part 2 After-Sales Policy

9. Product Acceptance

The buyer must inspect the goods for quantity, packaging, and appearance within 3 working days after receipt. If not notified, the goods shall be deemed accepted.

In case of shortage, damage, or leakage, provide photo or video evidence within 3 business days of receipt and notify us via email. We will respond within 1 business day and propose a solution, such as reshipment, refund, or remedy.

10. Technical Support

We are committed to providing professional technical support. For inquiries related to product usage or technical issues, we will respond within 24 hours of receiving the request. We are not liable for delays caused by force majeure (e.g., natural disasters, war, government action), but we will assist in minimizing losses.

11. Quality Guarantee

We provide a 12-month quality guarantee for the delivered materials, starting from the date of order production confirmation (usually after the deposit payment). This guarantee covers material quality issues arising under normal use and storage conditions. The guarantee does not apply to the following situations: a) damage caused by misuse, operational errors, material incompatibility, curing inhibition, or environmental factors; b) performance degradation or failure due to improper storage (failure to follow Section 5 recommendations); c) materials altered by third parties or ingredients added through unauthorized channels; d) damage caused by force majeure events. We recommend users conduct small-scale tests for material suitability prior to major projects.

12. Non-Conforming Product Solutions

The probability of receiving non-conforming materials delivered by our quality control laboratory is extremely low. Inexperienced users often mistake operational errors, material incompatibility, curing inhibition, or environmental factors for material non-conformity. Materials from the same batch may be delivered to multiple customers. If a batch of materials is non-conforming, we typically receive multiple feedbacks within a short period of time.

12.1 How to Verify if Materials are Normal

1. Check the material status: Ensure the material is within its shelf life. Materials that have expired or have been improperly stored after opening may not perform correctly.

2. Review the operating instructions: Reread the product instructions and verify the A/B component mixing ratio, operating time, and environmental conditions (room temperature 20–25°C / 68–77°F).

3. Small batch curing test: Weigh at least 100 grams of material, pre-mix the A/B components, and place in a clean plastic cup, following the instructions. If the material cures properly but shows slight tackiness in areas contacting the mold, the issue is likely not related to material quality. You may refer to the website FAQs or contact technical support.

4. Repeat verification: If the test sample only partially cures, please recheck the ambient temperature and mixing uniformity. Low temperatures or insufficient mixing can cause poor curing.

12.2 Suspect Material Non-Conformity

If you still suspect material quality issues after completing the above checks, please contact the MinghuiLink after-sales center via email ([email protected]). Please provide the order date, product name, product photo, site photos, and a detailed description of the problem. We promise to begin processing within 1 business day of receiving complete information and provide an initial response within 3 business days.

12.3 How We Handle Complaints

We will review customer complaint records: If there are at least 3 complaints regarding the same batch of products, we will conduct testing on the relevant batch (samples of each batch are retained for 12 months after order production) and contact the affected customers to discuss compensation options based on the test results.

If there are fewer than 3 complaints about the same batch, we will assign a technical engineer to contact you and analyze the issue together. You may need to provide project site photos, samples, or other relevant information.

After troubleshooting, we will offer targeted technical advice or optimization solutions to ensure smooth usage of the material.

13. Compensation Solutions

Given the special nature of chemical products and international trade practices, in principle, we do not accept returns of delivered products by the Buyer. When issues arise, we will prioritize offering one or more of the following solutions through negotiation to minimize your losses.

13.1 Transportation Damage or Leakage

If the product is damaged or leaks during transportation and cannot clear customs, we will instruct the shipping company to dispose of the goods and we will refund the paid amount within 5 business days after confirmation, or arrange a reshipment of equivalent-value goods based on stock availability and the Buyer’s needs. The specific refund or reshipment solution can be negotiated between both parties.

13.2 Confirmed Quality Issues

If a quality issue is verified by our after-sales service center, we can compensate as follows:

Refund: A full or partial refund of the payment corresponding to the confirmed quality issue in the product.

Discount Compensation: Provide an equivalent discount on subsequent orders based on mutual agreement.

13.3 Non-Quality Returns or Exchanges

If performance degradation or unmet expectations arise due to the Buyer’s wrong selection, process changes, or third-party factors, we will not accept returns or provide compensation.

In regions where we have established distributors, we may assist with returns, exchanges, or replacements through local distributors, with the Buyer assuming all costs.

13.4 Custom and Opened Products

Custom products and opened chemical items are generally non-returnable, but we can provide technical optimization support, including recipe adjustments or process guidance.

13.5 Other Notes

If additional fees arise due to force majeure or changes in customs policies, we can negotiate partial cost sharing or delay processing.

If the Buyer’s country triggers export control (e.g., entity list), we have the right to suspend delivery and refund any payments made, without being liable for breach of contract.

The above compensation solutions are specific to particular situations. The details of compensation or solutions may be subject to a separate written agreement based on mutual negotiation.
